We are not responsible for the privacy practices of third-party platforms.

SNAP KITCHEN MESSAGING TERMS & CONDITIONS

Snap Kitchen (together with its affiliates, “Snap Kitchen,” “we,” “us,” or “our”) offers one or more mobile messaging programs (the “Program”). By opting in to or participating in the Program, you agree to these Messaging Terms & Conditions (“Messaging Terms”) and our Messaging Privacy Policy (if separately posted) and Privacy Policy.

These Messaging Terms apply only to the Program and do not modify any other terms or policies that may govern your relationship with Snap Kitchen in other contexts.

1. User Opt-In

(a) Consent to Receive Recurring Automated Messages

By opting in, you agree to receive recurring automated promotional and personalized marketing messages (e.g., SMS, MMS, and RCS) from Snap Kitchen (including cart reminders and other marketing messages) sent to the mobile number you provided. Messages may be sent using an automated system and may include artificial or prerecorded voices where permitted by law.

By providing your number, you represent and warrant that:

  • You are providing your own phone number (not someone else’s), and
  • You are a legally authorized user of the phone number.

Consent is not a condition of purchase.
Message and data rates may apply.
Message frequency varies.

(b) No Guaranteed Delivery / Timing

Message delivery may be affected by your carrier, device, network availability, and other factors outside our control. You understand messages may be delivered at unexpected times due to technical factors. By participating, you consent to receive messages consistent with applicable law and your carrier’s capabilities.

(c) Electronic Disclosures (E-SIGN)

You agree we may provide required disclosures and information about the Program electronically. To retain a copy, you will need a device with a web browser and internet access, and either available storage or a printer.

(d) Carrier Disclosure / Fraud Prevention / One-Time Codes

You authorize Snap Kitchen and our service providers to use information about your account and wireless device (if available) to help identify you or your device and to detect and prevent fraud. You also consent to receiving one-time passcodes or confirmation messages to verify your subscription or changes to your participation.

2. User Opt-Out

If you no longer wish to participate, reply STOP to any message from us. You may receive a confirmation message confirming your opt-out.

To the maximum extent permitted by law, you understand and agree that these keywords are the reasonable methods of opting out. Our platform may not recognize opt-out requests that materially alter the keywords (e.g., different spellings or added words). Requests to opt out through other means (such as emailing customer support) may be processed, but may be subject to a 10-business-day timeframe and must be re-confirmed in writing from a snapkitchen representative.

4. Program Description

Without limiting the scope of the Program, you may receive messages regarding:

  • Promotions, discounts, offers, and marketing campaigns

  • Account-related or transactional messages (e.g., order confirmations, delivery updates, customer support responses), as permitted by law and your preferences

5. AI-Generated Message Content

From time to time, Snap Kitchen may use generative artificial intelligence tools to help draft, suggest, or personalize message content we choose to send. Some messages may be tailored based on information available to us. Snap Kitchen remains the sender of messages and responsible for the content sent through the Program.

6. Message Frequency, Cost, and Program Changes

Message and data rates may apply. Message frequency varies. We may change the frequency of messages at any time. We may also change the short code, phone number, or identifier from which messages are sent.

Note: Emailing support is not an acceptable method of opting out. Opt-outs must be submitted by texting the opt-out keywords described in Section 2.

8. RCS / MMS / SMS Compatibility

Depending on your device and carrier, you may receive messages via SMS, MMS, or RCS. If your device or carrier does not support certain message types, you may receive messages via SMS instead.

9. Disclaimer of Warranties

The Program is offered on an “as is” and “as available” basis. We do not guarantee the Program will be available in all areas, at all times, or without interruption.

10. Limitation of Liability

To the maximum extent permitted by law, Snap Kitchen will not be liable for delays or failures in receipt of messages, including issues related to your carrier, device, or network. Carriers are not liable for delayed or undelivered messages.

12. Age Restrictions

You may not participate in the Program if you are under thirteen (13) years of age. If you are between thirteen (13) and eighteen (18), you must have a parent or legal guardian’s permission to participate.

13. Prohibited Content / Misuse

You agree not to use the Program to transmit or encourage prohibited content or unlawful activity, including:

  • Fraudulent, defamatory, threatening, harassing, or stalking activity
  • Objectionable content including hate, discrimination, or violence
  • Malware, viruses, or harmful code
  • Promotions or content unlawful in the recipient’s jurisdiction
  • Content implicating protected health information governed by HIPAA
  • Any other content prohibited by applicable law

14. State Telemarketing Laws / Residency Assumptions

Where applicable, we endeavor to comply with federal and state telemarketing and messaging laws. For compliance purposes, we may assume your state of residence based on the area code of the phone number used to opt in, unless you notify us otherwise in writing.

15. Texas Subscribers

To the extent Texas law applies, and for purposes of Texas Business & Commerce Code Sections 302.058 and 302.059, the parties agree that:

(a) “customer” does not require purchase; and
(b) “establishment” includes online establishments and is not limited to physical stores.

16. Miscellaneous

We may update these Messaging Terms from time to time. Any updates will be posted and/or communicated as required. Continued participation in the Program after changes become effective constitutes acceptance of the updated terms.

APPENDIX A — SNAP KITCHEN DO NOT CALL / TEXT MESSAGING POLICY

Snap Kitchen is committed to complying with applicable Do Not Call and messaging laws. We will maintain an internal “Do Not Contact” list for the Program and will honor opt-out requests within a reasonable time, not to exceed 10 business days, as required by law.

To be placed on our internal list for the Program, you may:

  • Reply STOP to any message.

Your number may be retained on our internal list unless you later provide new consent to rejoin.

These Terms & Conditions (“Terms”) apply to the Snap Kitchen application, including without limitation Snap Kitchen’s iOS app, Android app, and web app, and the Snap Kitchen websites located at snapkitchen.com (collectively, the “App”). As used in these Terms, “Snap Kitchen,” “we,” “us,” or “our” refers to Snap Kitchen Investments, LLC and its subsidiaries and affiliates.

YOUR USE OF THE APP IS GOVERNED BY THESE TERMS

BY ACCESSING OR USING THE APP, YOU AGREE TO THESE TERMS IN THEIR ENTIRETY. Any person or entity that accesses or interacts with the App using crawlers, robots, browsers, data mining or extraction tools, scraping tools, or similar functionality (whether installed by that person or entity, or by a third party) is deemed to be using the App and is bound by these Terms.

We may revise and update these Terms from time to time in our sole discretion. Unless otherwise stated, all changes are effective immediately when posted and apply to all access to and use of the App thereafter. However, changes to the provisions set out in Section 35 (Arbitration; Disputes) will not apply to disputes for which we have actual notice before the date the change is posted on the App.

Your continued use of the App after revised Terms are posted means you accept and agree to the changes. You are expected to check this page each time you use the App so you are aware of any changes, as they are binding on you. If you do not agree to all of these Terms at any time, you must immediately stop using the App.

All information we collect through the App is subject to our Privacy Policy, located at https://snapkitchen.com/Privacy-and-Terms (the “Privacy Policy”). By using the App, you consent to our collection, use, and disclosure of your information as described in the Privacy Policy.

ORDERING & FULFILLMENT

1. ORDER METHODS

Snap Kitchen allows customers to make purchases using: (1) Snap Pass Subscriptions; (2) In-Store Pick-Up; or (3) Online On-Demand orders (each, an “Order Method”). The terms below apply to Order Methods as specified.

2. DELIVERY & SHIPPING POLICY (ALL ORDER METHODS)

2.1 Delivery Services

We use national and regional third-party delivery and shipping services (collectively, “Delivery Services”). To facilitate delivery, we may share your name, address, and contact information (including phone number) and order details with the applicable Delivery Service. We may also share feedback you provide about the Delivery Service to improve service quality. You consent to these disclosures.

You agree to pay any shipping handling or delivery charges displayed at checkout. We may increase, decrease, add, or eliminate shipping and handling charges from time to time, but we will disclose the charges applicable to your order before you complete your purchase.

We will attempt to deliver your order as soon as possible. We reserve the right not to deliver, or to delay delivery, including when: delivery is outside designated delivery times; outside the delivery zone; in inclement weather or unsafe conditions; to minors; to certain public establishments; or where we reasonably believe delivery would conflict with or compromise our business.

2.2 Delivery Timeframes

Any delivery dates or times shown are estimates only and are not guaranteed. Times shown in the App are estimates only and do not guarantee delivery within the listed time. Actual delivery may vary.

2.3 Delivery Locations.

To receive shipments, you must live in a residential apartment or home, or have permission from your employer or the business owner to receive shipments to a business address. You may also ship to a location designated by the shipper. Shipments to business addresses may not be scheduled for Saturday or Sunday delivery. Shipments to business addresses may arrive any time before 9:00 p.m. and are not guaranteed to arrive within “business hours.”

2.4 Risk of Loss; Title.

Title to and risk of loss for products pass to you upon delivery to the address provided in your order. After delivery, you (and not Snap Kitchen) are solely responsible for proper handling, storage, reheating, and consumption of products. By ordering, you agree to use and consume products at your own risk.

2.5 Missed Deliveries

If you are not present at delivery, in certain geographic areas the courier may leave the package at your door unless other instructions have been provided. Products may be shipped with insulated liners/cooler bags and gel packs and typically remain cold for several hours depending on season and local temperature. You should plan for immediate refrigeration (40°F or below) upon delivery.

You will be charged even if delivery cannot be completed due to inaccurate address or other inaccurate delivery information you provided. If you request that an order be left at your door or another location (instead of handed to you), you assume all risk of loss, spoilage, theft, infestation, or damage after delivery and remain responsible for payment.

2.6 Weather / Events Beyond Control

If inclement weather or other events beyond our control interfere with delivery, we will attempt to deliver as soon as reasonably possible. Snap Kitchen is not responsible for delayed deliveries that are caused by: acts of God (including weather events); acts of war or terrorism; shipping carrier delays; or delays caused by third-party delivery services.

3. DELIVERIES & FOOD SAFETY

Snap Kitchen products are fresh and perishable. You are responsible for ensuring that all products are immediately refrigerated upon receipt (40°F or below). Failure to refrigerate promptly may increase your risk of foodborne illness.

We recommend you consume refrigerated products within 5 days of delivery, or before the "enjoy by" date printed on the packaging, whichever is sooner.

Snap Kitchen will not be liable for damages or losses arising from: your failure to follow safe handling instructions; consumption after the recommended time; or consumption after tampering or spoilage.

4. OUT-OF-STOCK ITEMS (ALL ORDER METHODS)

In the event an item ordered is out-of-stock, Snap Kitchen reserves the right to:

  • Substitute the item with a comparable product of equal or greater value; or
  • Issue a refund for the item.

Substitutions will be made based on meal type, ingredients, and customer preferences where possible. No additional consent is required for a substitution of equal or greater value.

FEES & PURCHASE TERMS

5. PRICES AND PAYMENT (ALL ORDER METHODS)

All prices, discounts, and promotions posted on the App are subject to change without notice. The price charged for an item or Service will be the price in effect at the time the order is placed.

Unless otherwise stated, all prices are in U.S. dollars.

We accept payment via credit card and other methods listed at checkout. By providing payment information, you represent and warrant that you are authorized to use the designated payment method. You authorize us (or our third-party payment processor) to charge your payment method for the total amount of your order (including all applicable taxes and fees).

If a payment is not successfully settled, we may suspend or cancel your order or account.

6. ORDER CANCELLATION WINDOW (ON-DEMAND ORDERS)

For On-Demand orders, you may cancel your order only before the preparation process has begun. Once preparation has started, the order cannot be canceled, and you will be charged the full price.

7. PAYING WITH ACCOUNT CREDIT (ALL ORDER METHODS)

Account credits may be issued due to refunds, promotional offers, or other reasons at the sole discretion of Snap Kitchen. Account credits:

  • Can only be used for purchases on the App.
  • Have no cash value and are non-transferable.
  • May expire according to the terms of the specific offer or issuance.

SUBSCRIPTION TERMS

The following terms apply specifically to Snap Pass Subscriptions.

8. Auto-Renewal, Prices and Payment

Your Snap Pass Subscription is an auto-renewing subscription. You authorize Snap Kitchen (or its third-party payment processor) to charge your payment method for the recurring subscription fee on a weekly or other agreed-upon cycle until you cancel. The subscription fee is charged in advance of the delivery/pick-up date.

The total price for each recurring order will be based on the number of meals and any optional add-ons in your order, plus applicable taxes and fees (e.g., delivery fees).

We will notify you of any changes to the recurring subscription fee before the change takes effect.

9. Editing, Skipping or Canceling Orders

You must make all changes (meal selections, skipping a week, updating delivery information) before the weekly cut-off time, which is typically **Wednesday at 11:59 PM CST** for the following week’s delivery. Changes made after the cut-off time will not be reflected until the next billing cycle.

10. Subscription Cancellation

You may cancel your subscription at any time by accessing your account settings in the App. Cancellation must be performed before the weekly cut-off time (typically Wednesday at 11:59 PM CST) to prevent being charged for the next billing cycle. If you cancel after the cut-off, your cancellation will take effect after the next scheduled delivery or pickup.

REWARDS & PROMOTIONS

11. Promotions / Contests (All Order Methods)

Any contest, sweepstakes, or promotion is governed by the specific rules associated with that event. Unless otherwise stated in the rules, promotions are for new customers only, are limited to one per customer/household, and cannot be combined with other offers. Snap Kitchen reserves the right to void or cancel any order suspected of violating promotional terms.

12. Refer a Friend

The App and its entire contents, features, and functionality (including all information, software, text, displays, images, video, and audio) are owned by Snap Kitchen, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

15. Trademarks

The Snap Kitchen name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Snap Kitchen or its affiliates or licensors. You must not use such marks without the prior written permission of Snap Kitchen.

16. DMCA Notice – Copyright Infringement Claims

Snap Kitchen respects the intellectual property rights of others. If you believe any material accessible on or from the App infringes your copyright, you may request removal of those materials (or access to them) from the App by submitting a written notification to our Copyright Agent designated below.

17. Unlawful or Prohibited Uses

You may use the App only for lawful purposes and in accordance with these Terms. You agree not to use the App:

  • In any way that violates any applicable federal, state, local, or international law or regulation.

You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your user name or password or any other breach of security.

19. App Changes, Suspension & Termination

We may withdraw or amend the App, and any service or material we provide on the App, in our sole discretion without notice. We will not be liable if for any reason all or any part of the App is unavailable at any time or for any period.

We may terminate or suspend your access to all or part of the App for any or no reason, including without limitation any violation of these Terms.

Snap Kitchen makes no guarantees regarding weight loss, health improvements, or other personal results from using our products or following any information on the App. Individual results may vary.

SERVICE AVAILABILITY & UNEXPECTED EVENTS

29. Force Majeure

Snap Kitchen will not be liable or responsible to you, nor be deemed to have defaulted or breached these Terms, for any failure or delay in our performance hereunder when and to the extent such failure or delay is caused by or results from acts beyond our reasonable control, including, without limitation, acts of God, flood, fire, earthquake, epidemics, wars, civil unrest, labor disturbances, or power interruptions.

30. Jurisdictional Availability

The App is controlled and operated from the United States and is not intended to subject Snap Kitchen to the laws or jurisdiction of any state, country, or territory other than those of the United States. Snap Kitchen does not represent or warrant that the App or any part thereof is appropriate or available for use in any particular jurisdiction.

DISCLAIMERS, RISK & LIABILITY

31. Disclaimers of Warranties

YOUR USE OF THE APP, ITS CONTENT, AND ANY PRODUCTS OR SERVICES OBTAINED THROUGH THE APP IS AT YOUR OWN RISK. THE APP, ITS CONTENT, AND ANY PRODUCTS OR SERVICES OBTAINED THROUGH THE APP ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

NEITHER SNAP KITCHEN NOR ANY PERSON ASSOCIATED WITH SNAP KITCHEN MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE APP.

32. Release of Claims

To the fullest extent permitted by law, you release and hold harmless Snap Kitchen and its affiliates, officers, employees, agents, and licensors from any and all claims, demands, losses, or damages of any kind or nature, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to (i) your use of the App, (ii) any disputes with other users, or (iii) any errors, omissions, or inaccuracies in the App's content.

33. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SNAP KITCHEN, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE APP, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE APP OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

35. Disputes & Arbitration

PLEASE READ THIS SECTION CAREFULLY—IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS.

(a) Mandatory Arbitration. You and Snap Kitchen agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the App or Services (collectively, "Disputes") will be settled by binding individual arbitration, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

(b) Pre-Arbitration Dispute Resolution. We are always interested in resolving Disputes amicably and efficiently. Before you submit a claim for arbitration, you must first send a detailed written notice of your Dispute to Snap Kitchen by email at **[email protected]** and by U.S. Mail to **PO Box #340820 Lakeway, TX 78734**. The notice must include: your name, your address, a description of the Dispute, and the specific relief sought. We will contact you to try to resolve the Dispute amicably. If the Dispute is not resolved within sixty (60) days after the date the written notice is received, you or Snap Kitchen may initiate arbitration as set forth below.

(c) Arbitration Rules and Governing Law. The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with the Consumer Arbitration Rules (the "AAA Rules") then in effect, except as modified by this "Disputes & Arbitration" section. The Federal Arbitration Act will govern the interpretation and enforcement of this Section.

(d) Prohibition of Class and Representative Actions and Non-Individualized Relief. YOU AND SNAP KITCHEN AGREE THAT EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION OR PROCEEDING. UNLESS BOTH YOU AND SNAP KITCHEN AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON'S OR PARTY'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CONSOLIDATED, REPRESENTATIVE, OR CLASS PROCEEDING. THE ARBITRATOR MAY AWARD RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF NECESSITATED BY THAT PARTY'S INDIVIDUAL CLAIM(S).

36. Governing Law

All matters relating to the App and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Texas without giving effect to any choice or conflict of law provision or rule.

37. Miscellaneous

These Terms and our Privacy Policy constitute the sole and entire agreement between you and Snap Kitchen regarding the App and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
